Terms of Service

These Terms govern your use of newlocalsites.com and any preview or live website we build for you. By using the site or accepting a preview, you agree to them. We've tried to keep them readable; where the plain English and the legalese below disagree, the legalese wins.
1. Who these Terms cover
"New Local Sites," "we," and "us" means the operator of this site. "You" means anyone who visits the site, receives a preview, or becomes a customer. If you're using the site on behalf of a business, you represent that you're authorized to bind that business.
2. The service we provide
We do two things:
- Preview websites.Using publicly available information from your Google listing, we build a draft website for your business and send you a private link. The preview is a sample, not a published site — it's not indexed by search engines and it's not your property until and unless you become a customer.
- Paid hosting.If you decide to make a site official, we host it for you on a web address you provide (or one we help you obtain), keep it online, and make reasonable updates. The specifics of what's included are described on the site and at the price you agree to at checkout.
3. Acceptable use
You agree not to:
- Use the service in a way that violates any law or the rights of others;
- Attempt to access, alter, or disrupt our systems, accounts, or the sites of other customers;
- Scrape, copy, or republish content from the site or from other customers' sites without permission;
- Use the service to send spam, infringe intellectual property, or distribute malicious code; or
- Resell or repackage the service without our written consent.
We may suspend or terminate access at any time if we believe you've violated these Terms or to protect the service.
4. Preview websites
- A preview is built from public information and is offered without obligation. We may decline to build one, remove one, or stop offering previews at any time.
- We make reasonable efforts to reflect your business accurately, but we don't guarantee the preview is error-free. Reviews, hours, and other listing data come from third-party sources (e.g. Google) and we're not responsible for their accuracy.
- A preview is not a published website. Until you become a customer, we may modify or remove it, and you have no right to continued access or to the underlying files.
- If you tell us to take a preview down, we will — typically within a few business days.
5. Customer accounts and hosting
- To host your site, you need to keep your account in good standing — accurate information and timely payment.
- You're responsible for the content you ask us to publish and for having the rights to use it (logos, photos, text, testimonials).
- We may refuse to publish content that violates these Terms or that we reasonably believe is unlawful, infringing, or harmful.
- You retain ownership of the content you give us. We get a limited license to host and display it as needed to run your site.
6. Fees and billing
- Pricing is shown on the site at the time you sign up. We may change prices for future periods with reasonable notice; changes don't affect a period you've already paid for.
- Fees are billed in advance through our payment processor. If a payment fails, we may pause hosting until it's resolved.
- Unless required by law, fees are non-refundable once a billing period has started. If we terminate your account for our own reasons (not your breach), we'll refund the unused portion of the period.
7. Cancellation and termination
- You can cancel anytime. Cancellation takes effect at the end of the current billing period, and your site stays live until then.
- On cancellation, we may take your site offline and, after a reasonable grace period, delete the hosted content. On request, we'll return the content you provided to us.
- We may suspend or terminate accounts that violate these Terms or become inactive, with notice where practical.
8. Intellectual property
- The New Local Sites brand, the site design, our templates, and our software remain our property. You don't acquire rights to them by becoming a customer.
- Your website's content — text and images you provide — is yours. We display it only to operate your site.
- Third-party content we use (e.g. Google reviews and photos) is subject to the rights and attributions required by its source, and remains the property of its respective owners.
9. Disclaimers
The service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the service will be uninterrupted, error-free, or secure, or that any preview or live site will achieve a particular business result.
10. Limitation of liability
To the fullest extent permitted by law, in no event will New Local Sites be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from or related to the service — even if we've been advised of the possibility. Our total liability for any claim arising out of or related to the service is limited to the amount you paid us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.
11. Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses arising from your content, your violation of these Terms, or your violation of any third-party rights.
12. SMS outreach and consent
If we send you a text message about a preview we built for your business, you consent to receive that message at the mobile number associated with your public business listing. Our Privacy Policy describes how we handle mobile data. Message and data rates may apply. You can opt out at any time by replying STOP, UNSUBSCRIBE, CANCEL, or END.
13. Changes to these Terms
We may update these Terms from time to time. We'll post the updated version here with a new "Last updated" date. For material changes that affect existing customers, we'll provide notice (such as by email or a prominent notice on the site) in advance. Continued use after a change takes effect means you accept the updated Terms.
14. Governing law and disputes
These Terms are governed by the laws of the U.S. state in which New Local Sites is organized, without regard to conflict-of-laws rules. Any dispute will be resolved in the courts located in that state, except where prohibited by local consumer-protection law.
15. Miscellaneous
These Terms are the entire agreement between you and New Local Sites regarding the service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a right is not a waiver. No joint venture, partnership, or employment relationship is created by these Terms.
